Client – Copyright & Confidentiality Policy

1. Purpose and Scope #

This policy outlines the copyright, confidentiality, and usage rights applicable to all clients (“Client”, “you”) engaging with The Xdemor Group Limited (“Xdemor”, “we”, “us”, “our”) across digital, marketing, development, design, analytics, or infrastructure services. It ensures mutual respect of proprietary materials while enabling operational improvements through behavioural data analysis.

2.1 Final Deliverables #

All final deliverables explicitly paid for by the Client and confirmed as complete in writing shall be considered the property of the Client, subject to the clauses below. These include:

  • Website designs, SEO content, PPC creatives
  • Graphic assets, logos, technical documentation
  • Licensed or custom-developed digital materials

2.2 Exceptions and Exclusions #

This ownership does not extend to:

  • Internal tools, scripts, libraries, or backend components developed or reused by Xdemor
  • SaaS modules, CMS templates, or form builders operated by Xdemor or under white-label use
  • AI models, automation logic, or UX components developed or maintained by Xdemor across multiple projects

These elements remain the intellectual property of Xdemor and may only be used within the scope of the service provided.

3. Confidentiality Commitments #

3.1 Xdemor’s Duties #

Xdemor agrees to treat all confidential business information, account data, and project content provided by the Client as strictly confidential. This includes but is not limited to:

  • Strategic briefs, credentials, business models
  • Internal documents, source data, or market research

Xdemor shall not disclose such information without written consent, unless required by law.

3.2 Client Duties #

The Client agrees not to disclose, replicate, reverse-engineer, or commercially exploit:

  • Xdemor’s methodologies, code snippets, documentation, workflows, or third-party integrations
  • Access to internal dashboards, infrastructure, or tracking environments

4. Data Analysis & Infrastructure Improvement #

To improve our tools, algorithms, and service performance, Xdemor may collect and process non-identifiable UI/UX and behavioural data derived from services provided to the Client.

4.1 Permitted Data Collection Includes: #

  • Scroll depth, navigation paths, page interactions, heatmaps
  • Conversion funnel performance and session duration
  • User segmentation by device, browser, or behaviour

This data may be used:

  • For aggregated analysis
  • To develop new product features or service enhancements
  • To benchmark anonymous usage trends

All data is anonymised and not linked to any personally identifiable information or trade secrets.

5. Use of Subprocessors #

The Client acknowledges that certain services may involve the use of trusted third-party subprocessors (e.g., Google, Meta, SE Ranking, Ahrefs, Cloud hosting providers) and agrees that their platforms may independently collect and process behavioural data. Xdemor shall ensure these providers operate under legally valid safeguards (e.g. Standard Contractual Clauses, Data Processing Agreements).

6. Breach and Dispute #

Any breach of this policy, including unauthorised sharing of intellectual property or exposure of confidential data, may result in service suspension or legal recourse. In case of dispute, both parties agree to attempt amicable resolution prior to initiating legal action.

7. Governing Law #

This policy is governed by the laws of England and Wales. Disputes shall be resolved in the courts of London unless mutually agreed otherwise.
